Introduction

Welcome to the website of JPJ Ventures, LLC d/b/a iScribeHealth (“iScribe,” “iScribeHealth,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of www.iscribehealth.com and any related sites, features, or content we operate (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, please do not use the Site.

These Terms apply only to your use of the Site. They do not govern your use of the iScribeHealth clinical documentation software application or enterprise management console (collectively, the “Product”), which is governed by our End User License Agreement and any other separate agreement we enter into with you or your organization (for example, a Master Services Agreement, Subscription Agreement, or Order Form).

If you sign up for the Product through the Site, you will be directed away from the Site to our enterprise management console to create and manage your account. Your access to and use of the Product from that point forward, including any account registration, is governed exclusively by our End User License Agreement (and, where applicable, any organizational agreement covering your use of the Product), and not by these Terms.

iScribeHealth is the AI-powered clinical documentation solution designed to work seamlessly within a provider’s workflow. Built to bring humanity back to healthcare, iScribeHealth eliminates the burden of documentation so providers can focus on what matters most: patient care. Leveraging iScribe AI, providers experience faster chart completion, improved same-day encounter close rates, and measurable financial impact without disrupting their workflow. iScribeHealth integrates directly into select EHRs, requiring no duplicate systems, no extra logins, and no unnecessary clicks. Documentation is prepared and structured for review inside the application and EHR immediately following the patient encounter. The result is frictionless adoption, minimal IT lift, and rapid speed to value.

Eligibility

The Site is intended for use by individuals who are at least 18 years old and are accessing the Site in a professional or business capacity (for example, healthcare providers, administrators, or organizational decision-makers evaluating our products and services). By using the Site, you represent that you meet these requirements. The Site is not directed to individuals under the age of 18, and we do not knowingly collect personal information from children through the Site.

Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
  • Knowingly transmit any viruses, malware, or other harmful or disruptive code.
  • Attempt to gain unauthorized access to the Site, any account on the Product, or any server, computer, or database connected to the Site.
  • Interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available.
  • Use any automated means (including bots, scrapers, or crawlers) to access the Site for any purpose without our prior written consent.
  • Submit, upload, or transmit any Protected Health Information (“PHI”), as defined under the Health Insurance Portability and Accountability Act (“HIPAA”), or other sensitive personal or patient information through the Site, including through contact forms, demo request forms, or chat features. The Site is not designed or intended to receive or store PHI.

Privacy and Cookies

Our collection and use of personal information submitted through the Site (for example, through demo request, contact, or newsletter sign-up forms) is described in our Privacy Policy, linked on this website (currently available at https://www.iscribehealth.com/privacy-policy). By using the Site, you consent to the collection and use of your information as described in the Privacy Policy.

The Site uses cookies and similar tracking technologies to operate, analyze use of, and improve the Site. You can control cookies through your browser settings and, where applicable, through the cookie preference tools provided on the Site. Intellectual Property

All content on the Site — including text, graphics, logos, images, software, and the compilation and arrangement thereof — is owned by or licensed to iScribeHealth and is protected by U.S. and international copyright, trademark, and other intellectual property laws, unless otherwise stated.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site and its content for your own personal or internal business informational purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any content from the Site for commercial purposes without our express prior written consent.

TO THE FULLEST EXTENT PERMITTED BY LAW, ISCRIBEHEALTH DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ISCRIBEHEALTH, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ISCRIBEHEALTH’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). This limitation does not apply to liability arising from a party’s gross negligence, willful misconduct, or other liability that cannot be limited under applicable law.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless iScribeHealth and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any applicable law or third-party right.

Termination

We may suspend or terminate your access to all or part of the Site, at any time and without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Site will immediately cease. Sections of these Terms that by their nature should survive termination (including Sections 6, 7, 9, 10, 11, 14, and 15) will survive.

Changes to These Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective when we post them and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. We encourage you to review these Terms periodically.

Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them or the Site shall be governed by the laws of the State of Tennessee, without regard to its conflict of laws principles.

Agreement to Arbitrate. You and iScribeHealth agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site (a “Dispute”) will be resolved by binding arbitration on an individual basis, rather than in court, except that each party retains the right to seek relief in small claims court for disputes within that court’s jurisdiction and to seek injunctive relief in court for infringement or misuse of intellectual property rights.

The arbitration will be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, and will be conducted by a single arbitrator in Davidson County, Tennessee, or another mutually agreed location, or, to the extent permitted by the AAA rules, remotely. Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver. YOU AND ISCRIBEHEALTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to the address in Section 16 within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Davidson County, Tennessee, and you and iScribeHealth each consent to personal jurisdiction and venue there.

General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and iScribeHealth regarding the Site and supersede all prior agreements and understandings regarding the same subject matter.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
